NL RESEARCH CONSULTANTS – MASTER CONSULTING AGREEMENT

 

This Master Agreement (“Agreement”) is made between NL Research Consultants, located at Kimara Bucha, Ubungo, Dar es Salaam, Tanzania (“Service Provider”), and the undersigned Client (________). This Agreement governs the terms and conditions under which research consulting services will be provided.

  1. PURPOSE OF THE AGREEMENT

The parties wish to collaborate on research-related services. This Agreement outlines roles, responsibilities, and protections for both parties to ensure clarity, confidentiality, and service quality. This serve as both a binding contract and a Terms and Conditions when marked accordingly.

 

  1. SCOPE OF SERVICES (GENERAL SERVICE CONTRACT)

The Service Provider offers:

proposal and report writing; thesis/dissertation assistance; data collection and analysis; research papers, term papers, manuscripts; PowerPoint presentations, corrections, academic guidance; other research-support services as agreed in writing

  1. PAYMENT TERMS
  2. Clients Visiting Office:
  • Initial Payment: 50% before commencement
  • Final Payment: Due upon completion, before handover- Remaining 50% and if not, must be at 75% as per agreement on payment terms (See Payment Section). In this Task Chapter one will be provided after initial payments, after corrections and suggestions the next part of sections will proceed.
  1. Remote Clients:
  • Initial Payment: 75% (or 50% for returning clients)
  • Final Payment: Required before delivery of final files i.e Before attaining your work

NB: Clients will be provided with a link to access read only work after completion and required to read and make suggestions on areas for improvements (if any) before acquiring comple document of a given task.  This means that after completing required payments its when you have access on complete documents and there after you will be required to send all corrections (if any)

  1. PROJECT TIMELINES

Timelines will be agreed upon during consultation and are contingent on prompt client feedback. Delays due to client-side review may extend deadlines.

  1. CORRECTIONS & AMENDMENTS

Reasonable in-scope corrections are included. Major project shifts (title, objectives, methodology) may require a revised contract and extra charges. This means that corrections to be attempted are those within the agreed work. Changing on agreed title/objectives which lead to change of work will lead to new negotiation

  1. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Review all work before submission to institutions
  • Provide timely feedback and required documents
  • Complete Payment before attaining your complete documents
  • Not misuse academic content or breach university ethics
  1. CONFIDENTIALITY (NDA CLAUSE)

Both parties agree to maintain confidentiality regarding all documents, datasets, strategies, and client communication. No information will be shared with third parties without written consent. This obligation survives the termination of the Agreement.

  1. DATA USE AGREEMENT (DUA CLAUSE)

If datasets are shared by either party:

  • Data shall only be used for the project’s stated purpose
  • No third-party distribution is allowed without consent
  • Datasets must be deleted or returned upon project end
  • Sensitive or personal data will be handled per Tanzanian data protection laws
  1. SUBCONTRACTING CLAUSE (OPTIONAL)

The Service Provider may engage qualified subcontractors for specialized services (e.g., transcription, editing). Subcontractors will sign NDAs and follow this Agreement’s terms.

  1. INTELLECTUAL PROPERTY & ACADEMIC INTEGRITY

The Client retains usage rights to paid deliverables. NL Research Consultants is not responsible for academic grading outcomes. Any detected plagiarism will be corrected within scope; excessive corrections may incur additional fees. If your initial work contains plagiarism, the cost will be on your side.

  1. TERMINATION OF SERVICES
  2. Services may be terminated if:
  • The Client fails to pay
  • There is abusive or unethical conduct
    If termination occurs:
  • Tsh 100,000/= consultation fee applies
  • 50% of any pre-paid amount will be retained for work already done

 

  1. Fail to Complete Payments/Negating Payments

 

Failing to complete the required payment as agreed, this will require furthers steps including publishing client work make notify researchers and place it in plagiarism list.

Note: We shall notify the client on publication of work so as he/she may be aware on plagiarism from the university

Also, we shall notify the University Research Department on the issue and reuire that the work is being copied from NL Portal by giving them the link of the uploaded work and sharing with them writing progress. This will cause our client to fail the subject as he/she have failed to pay us.

 

  1. DISPUTE RESOLUTION

Parties agree to resolve disputes amicably. If unresolved, disputes will be settled through mediation or arbitration under Tanzanian law.

  1. AMENDMENTS

This Agreement may be updated by the Service Provider. Any changes will be communicated during project briefing or via written notice.

  1. GOVERNING LAW

This Agreement is governed by the laws of the United Republic of Tanzania.

  1. AGREEMENT ACKNOWLEDGMENT

By signing below, both parties affirm they have read, understood, and agreed to the terms of this integrated research consulting agreement. In Line with this you are required to read terms and Conditions:
